Terms & Conditions

Last updated: 12 October 2026

These terms apply to everything you buy or use from Offshore Society. By placing an order or signing up, you accept them.

1. Who we are and what we do

Offshore Society is operated by RZN Digital LLC, 7901 4th St N, STE 300, St. Petersburg, FL 33702, United States (hello@offshoresociety.io).

We help entrepreneurs and freelancers set up and run international business structures: company formations (such as US LLCs and Georgian Individual Entrepreneur registrations), ongoing compliance and filings, banking introductions, a membership with courses and resources, and free guides. What exactly is included in each service is described on its page at the time you order.

2. No legal or tax advice

We are not a law firm or a tax adviser. We handle the setup and administration you order, and share general information about how international structures work. We do not advise on your personal tax position.

You are responsible for how your structure is taxed and reported where you live, and for using it lawfully. If you are unsure, check with a qualified tax adviser in your country of residence before you act.

3. Orders and prices

A contract is formed when your payment goes through. Prices are shown on the service page and include the government and registration fees listed there. Fees for anything not listed (for example optional extras, courier costs, or later changes by a state or authority) are charged separately and only after you agree.

Payments are processed by Stripe. You receive a receipt by email.

4. What we need from you

To deliver your service, we need correct and complete information and documents (for example passport copies or proof of address), and timely answers to our questions. You confirm that the information you give us is true and that you are allowed to use the structure you order.

We may need to verify your identity before we file anything. If you don’t provide what we need within 60 days of your order, we may close it; see section 6 for refunds.

5. Timelines

The timelines on our pages (such as “formed in 1–3 business days” or “EIN in about 2–4 weeks”) are typical estimates once we have everything we need from you. Government agencies, banks and registered agents work on their own schedules, so we can’t guarantee their processing times or their decisions, such as whether a bank opens an account for you.

6. Refunds

Our services start right away. As soon as your payment goes through, we begin preparing your filing, and state fees, registered agent costs and other third-party fees are paid on your behalf, usually within hours.

  • Formations and other one-off services are therefore non-refundable once paid.
  • If we can’t deliver your service for reasons on our side, you get a full refund.
  • Subscriptions: see section 7.

Decisions by authorities or banks (for example a rejected name, a delayed EIN or a declined bank account) are not grounds for a refund, but we’ll help you find another route.

7. Subscriptions

  • Compliance service: billed yearly and renews automatically. Cancel any time before the renewal date and it won’t renew; the current year is not refunded.
  • Membership: billed per period and renews automatically. Cancel any time; you keep access until the end of the period you’ve paid for.

Cancel by email to hello@offshoresociety.io or through the link in your receipt.

8. Right of withdrawal for consumers

Our services are meant for business use. If you order as a consumer living in the EU, you have a 14-day right of withdrawal from the day of your order.

By ordering, you ask us to start immediately, before the 14 days are over, and you acknowledge that your right of withdrawal ends once we have fully delivered the service. If you withdraw before that, you pay for the work done and the fees already paid to authorities and third parties; for a formation that is usually the full price. For courses and other digital content, the right ends when you first access the content.

9. Acceptable use

Our services are for lawful purposes only. We don’t work with anyone on a sanctions list, and we don’t help with money laundering, fraud or hiding assets from authorities. We may refuse or end a service if we have good reason to believe it is being misused; in that case section 6 applies.

10. Our content

Guides, courses, templates and other materials are for your own use. Please don’t copy, resell or share them publicly. They reflect our understanding at the time of writing; rules change, so check the current position before relying on them.

11. Liability

We do our work carefully, but we’re only liable for damage we cause intentionally or through gross negligence. Otherwise our liability is limited to the amount you paid us for the service concerned in the last 12 months. We’re not liable for decisions by authorities or banks, for delays outside our control, or for the tax consequences of your structure. Nothing here limits liability where the law doesn’t allow it, for example for injury to life or health.

12. Changes to these terms

We may update these terms. The version that applies to an order is the one in force when you placed it. For subscriptions, we’ll email you about changes at least 30 days before they apply; you can cancel before then.

13. Law and disputes

These terms are governed by the laws of the State of Florida, USA. If you are a consumer in the EU, you also keep the protection of the mandatory laws of your country. If something goes wrong, email us first; most things can be sorted out quickly.

If any part of these terms is invalid, the rest still applies.
